Social Link — Terms of Service

Acceptance of These TermsThese Terms of Service (“Terms”) govern your access to and use of Social Link (“Social Link” or the “Service”), operated by ATB Trucking, LLC dba Wasoka & Company (“Wasoka,” “we,” “us,” or “our”).By accessing Social Link, connecting a social media account, submitting content, or otherwise participating in the Service, you agree to these Terms. If you do not agree, do not use Social Link.2. Business-Only, Invitation-Only ServiceSocial Link is intended solely for participating furniture manufacturers, builders, retail stores, and other business partners affiliated with Wasoka & Company.You must:Be at least 18 years old.
Have authority to act for the business you represent.
Provide accurate and current information.
Use Social Link only for legitimate business purposes.
Follow applicable laws and third-party platform rules.Access is provided by invitation and is not available to the general public.3. Description of Social LinkSocial Link is a marketing-support service that helps participating furniture manufacturers and their retail partners distribute approved marketing content through connected Facebook Pages and Instagram professional accounts.Through Social Link:Manufacturers may provide photographs, videos, captions, product information, and other marketing materials.
Wasoka may format, organize, schedule, and distribute approved content.
Retailers may authorize Social Link to publish approved content to their connected business social media accounts.
Posts may be published automatically according to schedules established through the Service.Social Link does not guarantee sales, leads, customer engagement, social media reach, or any other business result.4. No Separate Subscription FeeSocial Link is currently offered as an invitation-only benefit to participating manufacturers and retail partners working with Wasoka & Company.Unless otherwise agreed in writing:Manufacturers are not charged a separate Social Link subscription fee.
Retailers may participate at no charge.
There is no long-term commitment to participate.
Wasoka may change, limit, suspend, or discontinue complimentary access to the Service.Any future paid services must be described in a separate written agreement accepted by the affected participant.5. Manufacturer ParticipationParticipating manufacturers retain ownership of the photographs, videos, product information, logos, captions, and other materials they provide (“Manufacturer Content”).By providing Manufacturer Content, the manufacturer grants Wasoka a non-exclusive, worldwide, royalty-free license to:Store and organize the content.
Resize, crop, format, or otherwise prepare it for social media.
Add captions, links, retailer information, or other approved marketing language.
Distribute and publish the content through participating retailers’ connected social media accounts.
Display the content within Social Link and related Wasoka administrative systems.The manufacturer represents that it owns the content or has all necessary rights and permissions to provide and distribute it. The manufacturer is responsible for ensuring that its content and product claims are accurate, lawful, and not misleading.6. Retailer AuthorizationBy connecting a Facebook Page, Instagram professional account, or other supported business account, the retailer authorizes Wasoka and Social Link to:Access the connected business account information necessary to provide the Service.
Identify the Pages and Instagram accounts the retailer has authorized.
Schedule and publish approved content.
Confirm whether scheduled posts were successfully published.
Access limited engagement or performance information when needed to operate or improve the Service.Retailers retain ownership and control of their social media accounts.Retailers may pause participation, revoke authorization, disconnect their accounts, or request removal from Social Link at any time. Disconnecting an account will prevent future posts but may not automatically remove content that was previously published.Retailers are responsible for reviewing their connected accounts and notifying Wasoka promptly about incorrect, outdated, or objectionable content.7. Automated PostingSocial Link may publish posts automatically without requesting separate approval from the retailer for every individual post.By participating, retailers acknowledge that:Posts may be published according to an automated schedule.
Manufacturer-approved content may be formatted for different social media platforms.
Posting times may change because of technical conditions or platform limitations.
Social media platforms may delay, reject, modify, restrict, or remove content.
Retailers may contact Wasoka to pause future posting or disconnect their accounts.Wasoka will make reasonable efforts to use appropriate, manufacturer-approved content, but does not guarantee that every post will publish at a specific time.8. Prohibited Content and ConductParticipants may not use Social Link to submit or distribute content that:Is false, deceptive, or misleading.
Infringes copyrights, trademarks, privacy rights, publicity rights, or other third-party rights.
Is unlawful, fraudulent, defamatory, discriminatory, threatening, or offensive.
Contains malware, malicious links, or unauthorized tracking.
Violates Meta’s terms, advertising standards, community standards, developer policies, or other applicable platform requirements.
Promotes products or services unrelated to the participating business without authorization.
Misrepresents the manufacturer, retailer, Wasoka, or another business.Wasoka may reject, remove, or stop distributing content that it reasonably believes violates these Terms or creates legal, reputational, or platform risk.9. Third-Party PlatformsSocial Link relies on third-party services, including Facebook and Instagram, which are operated by Meta Platforms, Inc.Social Link is not sponsored, endorsed, administered by, or affiliated with Meta, Facebook, or Instagram.Your use of connected social media accounts remains subject to the terms and policies of those platforms. Wasoka does not control and is not responsible for:Platform outages or service interruptions.
API restrictions or changes.
Account suspensions or restrictions.
Content removals.
Changes to platform features or policies.
Loss of access caused by an expired or revoked authorization.Meta, Facebook, and Instagram are trademarks of their respective owners.10. Privacy and DataOur collection and use of personal and business information is described in the Social Link Privacy Policy:https://privacy.wasoka.coSocial Link may store account information, business identifiers, authorization tokens, publishing records, and other information necessary to operate the Service.We do not sell participant personal information.Participants may request access, correction, or deletion of their information by contacting:[email protected]Disconnecting a social media account does not necessarily delete all records retained for security, legal compliance, or operational purposes. Data deletion requests will be handled according to our Privacy Policy and applicable law.11. Service Availability and ChangesSocial Link may experience interruptions caused by maintenance, technical problems, network outages, third-party platform changes, or other circumstances outside Wasoka’s control.Wasoka may modify, suspend, restrict, or discontinue any part of Social Link at any time. When practical, we will provide reasonable notice of material changes affecting participating businesses.12. Suspension and TerminationWasoka may suspend or terminate participation if a manufacturer or retailer:Violates these Terms.
Provides unauthorized or prohibited content.
Misuses Social Link.
Creates security, legal, or reputational risk.
Loses authority to represent the connected business.
Violates applicable platform policies.
Ends its applicable business relationship with Wasoka.Participants may stop using Social Link at any time by contacting Wasoka or disconnecting their social media accounts.Following termination, Wasoka may retain limited records as reasonably necessary for legal compliance, security, dispute resolution, and documentation of previously published content.13. Ownership of Social LinkWasoka retains all rights in the Social Link service, software, workflows, designs, branding, documentation, and administrative systems, excluding Manufacturer Content, retailer-owned materials, and third-party platform property.Participation does not transfer ownership of Social Link or grant participants the right to copy, resell, sublicense, reverse engineer, or independently commercialize the Service.14. Disclaimer of WarrantiesSocial Link is provided on an “as is” and “as available” basis.To the fullest extent permitted by law, Wasoka disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, and non-infringement.Wasoka does not warrant that Social Link will be uninterrupted, error-free, secure, or compatible with every social media account or platform feature.15. Limitation of LiabilityTo the fullest extent permitted by law, ATB Trucking, LLC dba Wasoka & Company will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost sales, lost opportunities, loss of data, reputational harm, or loss of social media access.Wasoka is not responsible for:Posts delayed, rejected, altered, or removed by a third-party platform.
Account restrictions or suspensions imposed by Meta or another platform.
Incorrect information supplied by a manufacturer or retailer.
Unauthorized content supplied by a participant.
Business results attributed to social media activity.
Interruptions beyond Wasoka’s reasonable control.To the fullest extent permitted by law, Wasoka’s total liability relating to Social Link will not exceed the greater of the amount paid specifically for Social Link during the preceding 12 months or $100.16. IndemnificationYou agree to defend, indemnify, and hold harmless ATB Trucking, LLC dba Wasoka & Company and its owners, representatives, contractors, and service providers from claims, damages, losses, liabilities, and reasonable expenses arising from:Content you provide.
Your violation of these Terms.
Your violation of applicable law or third-party platform rules.
Your infringement of another party’s rights.
Your lack of authority to connect or act for a business account.
False or misleading product or marketing claims you provide.
17. Governing LawThese Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles.Any dispute relating to Social Link or these Terms will be handled in an appropriate state or federal court located in Connecticut, unless the parties agree to another method of resolution.18. Changes to These TermsWe may update these Terms periodically. When changes are made, we will update the “Last Updated” date at the top of this page.Continued use of Social Link after updated Terms take effect constitutes acceptance of the revised Terms.19.
